1. REFERRAL PROGRAM OVERVIEW

The Joined Bio, Inc. (“Joined Bio”, “Our”, “Us”, “We”), Referral Program (the “Referral Program”) allows eligible users to earn rewards for referring friends who successfully join the Joined Bio Patient Portal and share their health data.  These “Terms and Conditions” govern Your (“You”, “Your”) participation in the Referral Program.

2. ELIGIBILITY

• The Referral Program is open to registered users of the Joined Bio Patient Portal who are legal residents of the United States, eighteen (18) years of age or older.
• Joined Bio employees, contractors, consultants, investors, and their immediate family members are not eligible to participate.
• You must have an active Joined Bio Patient Portal account in good standing to participate.
• Both You and Your referred friend must be located in the United States.

3. HOW THE REFERRAL PROGRAM WORKS

• Create an account in the Joined Bio Patient Portal and receive Your unique referral code.
• Share Your referral code with friends who have never created a Joined Bio Patient Portal account.
• For a referral to qualify for a reward:
  • Your friend must be a first-time user to the Joined Bio Patient Portal (i.e., never had a Joined Bio Patient Portal account);
  • Your friend must create a Joined Bio Patient Portal account and enter Your referral code when creating the account;
  • Your friend must electronically share their health data with Joined Bio in the Patient Portal;
  • Your friend must maintain an active account with shared health data for at least thirty (30) consecutive days after they have shared their health data;
  • You must have shared Your health data in the Patient Portal; and
  • You must have an active account with active health data sharing in the Patient Portal at the time the reward is earned and paid.

4. REWARDS

• You will earn a reward for each qualifying referral as specified in your Patient Portal.
• Rewards are calculated monthly for qualifying referrals from the previous month.
• Rewards are provided via electronic gift cards and may be delivered:
  • by email;
  • through Our Patient Portal;
  • through third-party reward platforms; or
  • by other means as solely determined by Joined Bio.
• Reward payments exceeding Six Hundred US Dollars ($600) in a calendar year will be reported to the Internal Revenue Service, and You will receive a Form 1099.
• You are responsible for all Federal, state, and local taxes associated with Your rewards.

5. REFERRAL REQUIREMENTS

• By referring a friend, You represent and warrant that:
  • You are sharing your code with friends who are eighteen (18) years of age or older;
  • Both You and Your friend live in the United States; and
  • Neither You nor Your friend are subject to any European Union or other non-US country’s privacy laws.
• Referrals must comply with all applicable laws, including the CAN-SPAM Act, the Telephone Consumer Protection Act, and the Federal Trade Commission’s 16 CFR Part 255 “Guides Concerning the Use of Endorsements and Testimonials in Advertising”.
• You are responsible for ensuring that Your posts on any social network platform comply with the applicable terms of use of each such site, and any other applicable laws, statutes, and regulations.

6. REFERRAL PROGRAM LIMITATIONS

• Joined Bio reserves the right to limit the number of referral rewards any participant can receive.
• Rewards cannot be transferred, assigned, or combined with other offers.
• Referral codes may only be used for personal and non-commercial purposes in accordance with these Terms and Conditions.

7. FRAUD AND MISUSE

• Joined Bio reserves the right to monitor Referral Program participation for fraudulent activity.
• Joined Bio may suspend or terminate Referral Program participation and withhold or delay rewards if We suspect fraudulent, abusive, or suspicious behavior.
• Prohibited activities include, but are not limited to:
  • Creating multiple accounts;
  • Referring yourself;
  • Using automated systems to generate referrals;
  • Posting referral codes on coupon or reward websites; and/or
  • Paying or incentivizing others to use Your referral code.

8. YOUR REFERRAL PROGRAM COMMUNICATIONS

• You will receive communications regarding the status of Your referrals and rewards in your Patient Portal and/or via your preferred communication methods.
• You may manage your communication preferences in Your account settings. 

9. REWARD CLAIMS

• If You believe You are entitled to a reward that You did not receive, You must submit a claim within sixty (60) days of the date You believe the reward should have been issued. This claim must include a detailed description as to why You believe the reward should have been issued.
• Claims must be submitted to referrals@joined.bio with the subject line “Referral Reward Claim.”
• Joined Bio will review all claims and make a determination within thirty (30) days.
• All decisions made by Joined Bio regarding the Referral Program are final and binding.

10. INTELLECTUAL PROPERTY

• All Joined Bio materials, including referral links, promotional materials, and content, are owned by Joined Bio and protected by intellectual property laws.
• You may use Joined Bio referral materials only as expressly permitted for the purpose of participating in the Referral Program.
• You may not modify, alter, or create derivative works of any Referral Program materials.

11. PRIVACY POLICY

• Your participation in the Referral Program is subject to Our Privacy Policy, available at https://joined.bio/privacy-policy, and Our Web Terms of Use available at https://joined.bio/terms-of-use.
• Information collected in connection with the Referral Program will be used in accordance with Our Privacy Policy.
• Referral data may be retained for the purpose of administering the Referral Program and for compliance with applicable laws.

12. ACCESSIBILITY

13. FORCE MAJEURE

• Joined Bio is not responsible for failures to fulfill obligations due to causes beyond its reasonable control, including but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, epidemics, pandemics, or shortages of energy or labor.

14. GENERAL TERMS

• By participating in the Referral Program, you agree that you have read, understand, and will abide and be bound by, these Terms and Conditions.
• Joined Bio will notify participants of material changes to the Referral Program via email and/or notices on Our website.
• Joined Bio may modify, suspend, or terminate the Referral Program, or any portion of it, at any time at Joined Bio’s sole discretion, without prior notice to You.
• Your continued participation in the Referral Program after any changes have been made constitutes Your acceptance of those changes.
• If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be eliminated, and the remaining provisions will remain in full force and effect.
• The Referral Program is void where prohibited by law.
• These Terms and Conditions are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. The Federal and state courts of Massachusetts shall have exclusive jurisdiction over any dispute arising hereunder.

15. LIMITATION OF LIABILITY

YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE REFERRAL PROGRAM IS AT YOUR OWN RISK.  THE REFERRAL PROGRAM IS MADE AVAILABLE TO YOU ON AN “AS-IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.  NEITHER JOINED BIO, NOR ANY OF ITS AFFILIATES, MAKES ANY WARRANTY REGARDING THE REFERRAL PROGRAM; AND EACH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,  IN NO EVENT SHALL WE, OR ANY OF OUR AFFILIATES, BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, OR INCIDENTAL DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES AS A RESULT OF CLAIMS, WHETHER BROUGHT IN CONTRACT OR TORT, ARISING OUT OF, OR IN CONNECTION WITH, THESE TERMS AND CONDITIONS OR THE REFERRAL PROGRAM, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. INDEMNIFICATION

You agree to indemnify and hold harmless Joined Bio, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

• Any referrals you make under the Joined Bio Referral Program;
• Your violation of these Terms and Conditions; and
• Your violation of any rights of another party.
