1. REFERRAL PROGRAM OVERVIEW

The Joined Bio, Inc. (“Joined Bio”, “Our”, “Us”, “We”), Referral Program (the “Referral Program”) allows eligible users to earn rewards for referring friends who successfully join the Joined Bio Patient Portal and share their health data.  These “Terms and Conditions” govern Your (“You”, “Your”) participation in the Referral Program.

 

2. ELIGIBILITY

• The Referral Program is open to registered users of the Joined Bio Patient Portal who are legal residents of the United States, eighteen (18) years of age or older.
• Joined Bio employees, contractors, consultants, investors, and their immediate family members are not eligible to participate.
• You must have an active Joined Bio Patient Portal account in good standing to participate.
• Both You and Your referred friend must be located in the United States.

 

3. HOW THE REFERRAL PROGRAM WORKS

• Create an account in the Joined Bio Patient Portal and receive Your unique referral code.
• Share Your referral code with friends who have never created a Joined Bio Patient Portal account.
• For a referral to qualify for a reward:
  • Your friend must be a first-time user to the Joined Bio Patient Portal (i.e., never had a Joined Bio Patient Portal account);
  • Your friend must create a Joined Bio Patient Portal account and enter Your referral code when creating the account;
  • Your friend must connect to their healthcare provider’s electronic medical record system and share health data in the Patient Portal that reflects a minimum amount of substantive, recent medical history, as determined by Joined Bio in its reasonable discretion (“Qualifying Health Data”). A connection to an electronic medical record system that contains little or no health information, or that Joined Bio believes was created, populated, or manipulated for the purpose of appearing to satisfy this requirement, does not constitute sharing Qualifying Health Data, regardless of whether the connection itself is technically successful;
  • Your friend must maintain an active account with shared health data for at least thirty (30) consecutive days after they have shared their health data; and the Qualifying Health Data described above must remain connected and accessible throughout that thirty (30) day period;
  • You must have connected to Your healthcare provider’s electronic medical record system and maintained an active account with shared Qualifying Health Data, consistent with the requirements described above, for a period of at least thirty (30) consecutive days, which period must overlap, in whole or in part, with the thirty (30) day period described above during which Your friend maintains Qualifying Health Data; and
  • You must have an active account with active health data sharing in the Patient Portal at the time the reward is earned and paid.

Joined Bio may independently verify that health data shared under this Section 3 constitutes Qualifying Health Data, and Joined Bio’s good-faith determination as to whether this requirement has been satisfied is final.

 

4. REWARDS

• You will earn a reward for each qualifying referral as specified in your Patient Portal.
• Rewards are calculated monthly for qualifying referrals from the previous month.
• Before a reward is calculated or issued, Joined Bio may review the referral for compliance with these Terms and Conditions, including Section 7 (Fraud and Misuse), which may delay issuance of the reward beyond the timeframe described above.
• Rewards are provided via electronic gift cards and may be delivered:
  • by email;
  • through Our Patient Portal;
  • through third-party reward platforms; or
  • by other means as solely determined by Joined Bio.
• Reward payments that exceed the reporting threshold established by the Internal Revenue Service for Form 1099 in a given calendar year (currently $2,000, and subject to future adjustment by the IRS) will be reported to the Internal Revenue Service, and You will receive a Form 1099.
• You are responsible for all Federal, state, and local taxes associated with Your rewards.
• All rewards are provisional until issued and remain subject to reversal. If Joined Bio determines, before or after a reward is issued, that a referral did not satisfy these Terms and Conditions or resulted from fraudulent, abusive, or prohibited activity, Joined Bio may void the reward, reverse or deactivate a gift card already issued to the extent reasonably possible, offset the value of the reward against any future rewards owed to You, or require repayment.

 

5. REFERRAL REQUIREMENTS

• By referring a friend, You represent and warrant that:
  • You are sharing your code with friends who are eighteen (18) years of age or older;
  • Both You and Your friend live in the United States; and
  • Neither You nor Your friend are subject to any European Union or other non-US country’s privacy laws.
  • You have a genuine, pre-existing personal relationship with the friend You are referring, and You are not referring individuals whom You do not know personally, including individuals sourced from purchased or scraped contact lists, data brokers, bots, or coordination with unrelated third parties; and
  • All information provided in connection with Your participation and Your friend’s participation in the Referral Program, including account registration information and any connected health data, is true, accurate, and belongs to a real individual, and has not been fabricated, synthesized, or created using another person’s identity.
• Referrals must comply with all applicable laws, including the CAN-SPAM Act, the Telephone Consumer Protection Act, and the Federal Trade Commission’s 16 CFR Part 255 “Guides Concerning the Use of Endorsements and Testimonials in Advertising”.
• You are responsible for ensuring that Your posts on any social network platform comply with the applicable terms of use of each such site, and any other applicable laws, statutes, and regulations.

 

6. REFERRAL PROGRAM LIMITATIONS

• Joined Bio reserves the right to limit the number of referral rewards any participant can receive.
• Unless a different limit is displayed in Your Patient Portal, You may earn rewards for no more than ten (10) qualifying referrals in any rolling twelve (12) month period, and no more than three (3) qualifying referrals in any rolling seven (7) day period. Joined Bio may change these limits at any time and may apply different limits to individual participants based on account tenure, verification status, or risk factors.
• Joined Bio may treat two or more Patient Portal accounts as under common ownership or control, and apply the limitations in this Section 6 and the prohibitions in Section 7 across those accounts collectively, where the accounts share indicia of common control, including but not limited to the same device, IP address, payment method, or contact information, or otherwise appear to be coordinated.
• Rewards cannot be transferred, assigned, or combined with other offers.
• Referral codes may only be used for personal and non-commercial purposes in accordance with these Terms and Conditions.

 

7. FRAUD AND MISUSE

• Joined Bio reserves the right to monitor Referral Program participation for fraudulent activity.
• Joined Bio may suspend or terminate Referral Program participation; withhold, delay, reverse, or require repayment of rewards, including rewards already issued; deactivate any associated Patient Portal account(s); and permanently bar an individual, and any associated accounts, from future participation in the Referral Program, if We reasonably suspect fraudulent, abusive, or otherwise prohibited behavior. Joined Bio’s determination need not meet a criminal or civil standard of proof and may be based on a good-faith assessment of the information reasonably available to Us.
• Prohibited activities include, but are not limited to:
  • Creating multiple accounts;
  • Referring yourself;
  • Using automated systems to generate referrals;
  • Connecting falsified electronic medical record data;
  • Posting referral codes on coupon or reward websites;
  • Paying or incentivizing others to use Your referral code;
  • Connecting an electronic medical record system that does not contain Qualifying Health Data, or that has been created, populated, minimized, or manipulated in an attempt to satisfy Section 3 without providing genuine, substantive health information;
  • Referring individuals with whom You do not have a genuine, pre-existing personal relationship, including referrals sourced from purchased contact lists, data brokers, or coordinated or bulk outreach;
  • Creating, controlling, or being compensated for creating referral chains or multiple linked accounts designed to circumvent the limitations in Section 6;
  • Providing false, misleading, incomplete, or synthetic identity information in connection with a Patient Portal account or a referral; and/or
  • Colluding with any other person to circumvent these Terms and Conditions.
• Joined Bio may request additional information or documentation to verify Your identity, Your relationship with a referred friend, or the authenticity of shared health data, and may decline to pay or may suspend consideration of a reward until such information is provided to Our reasonable satisfaction.
• Joined Bio reserves the right to report suspected fraudulent activity to law enforcement or other appropriate authorities.

 

8. YOUR REFERRAL PROGRAM COMMUNICATIONS

• You will receive communications regarding the status of Your referrals and rewards in your Patient Portal and/or via your preferred communication methods.
• You may manage your communication preferences in Your account settings.

 

9. REWARD CLAIMS

• If You believe You are entitled to a reward that You did not receive, You must submit a claim within sixty (60) days of the date You believe the reward should have been issued. This claim must include a detailed description as to why You believe the reward should have been issued.
• Claims must be submitted to referrals@joined.bio with the subject line “Referral Reward Claim.”
• Joined Bio will review all claims and make a determination within thirty (30) days.
• All decisions made by Joined Bio regarding the Referral Program are final and binding.

 

10. INTELLECTUAL PROPERTY

• All Joined Bio materials, including referral links, promotional materials, and content, are owned by Joined Bio and protected by intellectual property laws.
• You may use Joined Bio referral materials only as expressly permitted for the purpose of participating in the Referral Program.
• You may not modify, alter, or create derivative works of any Referral Program materials.

 

11. PRIVACY POLICY

• Your participation in the Referral Program is subject to Our Privacy Policy, available at https://joined.bio/privacy-policy, and Our Web Terms of Use available at https://joined.bio/terms-of-use.
• Information collected in connection with the Referral Program will be used in accordance with Our Privacy Policy.
• Referral data may be retained for the purpose of administering the Referral Program and for compliance with applicable laws.

 

12. ACCESSIBILITY

13. FORCE MAJEURE

• Joined Bio is not responsible for failures to fulfill obligations due to causes beyond its reasonable control, including but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, epidemics, pandemics, or shortages of energy or labor.

 

14. GENERAL TERMS

• By participating in the Referral Program, you agree that you have read, understand, and will abide and be bound by, these Terms and Conditions.
• Joined Bio will notify participants of material changes to the Referral Program via email and/or notices on Our website.
• Joined Bio may modify, suspend, or terminate the Referral Program, or any portion of it, at any time at Joined Bio’s sole discretion, without prior notice to You.
• Your continued participation in the Referral Program after any changes have been made constitutes Your acceptance of those changes.
• If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be eliminated, and the remaining provisions will remain in full force and effect.
• The Referral Program is void where prohibited by law.
• These Terms and Conditions are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. The Federal and state courts of Massachusetts shall have exclusive jurisdiction over any dispute arising hereunder.

 

15. LIMITATION OF LIABILITY

YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE REFERRAL PROGRAM IS AT YOUR OWN RISK.  THE REFERRAL PROGRAM IS MADE AVAILABLE TO YOU ON AN “AS-IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.  NEITHER JOINED BIO, NOR ANY OF ITS AFFILIATES, MAKES ANY WARRANTY REGARDING THE REFERRAL PROGRAM; AND EACH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,  IN NO EVENT SHALL WE, OR ANY OF OUR AFFILIATES, BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, OR INCIDENTAL DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES AS A RESULT OF CLAIMS, WHETHER BROUGHT IN CONTRACT OR TORT, ARISING OUT OF, OR IN CONNECTION WITH, THESE TERMS AND CONDITIONS OR THE REFERRAL PROGRAM, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

16. INDEMNIFICATION

You agree to indemnify and hold harmless Joined Bio, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

• Any referrals you make under the Joined Bio Referral Program;
• Your violation of these Terms and Conditions; and
• Your violation of any rights of another party.
