  1. Acceptance of Terms

By accessing and using www.joinedbio.com, www.joined.bio, www.biosampleconnect.com, or other web property owned by Joined Bio, Inc. (“Website”), or by creating an account to access Our Patient Portal, you (“You” or “Your”) accept and agree to be bound by these Web Terms of Use (“Terms”).  If You disagree with any part of these Terms, You may not access the Website or Patient Portal.

  1. Changes to Terms

Joined Bio, Inc. (“We,” “Us,” or “Our”), reserves the right to modify these Terms at any time.  We will notify users of any changes by updating the “Last Updated” date of these Terms and, for Patient Portal users, by email notification to Your registered email address.  Your continued use of the Website or Patient Portal following the posting of revised Terms means You accept and agree to the changes.

  1. Definitions
  • “Website” refers to Our publicly accessible web properties above.
  • “Patient Portal” refers to Our secure, password-protected online platform accessible only to registered users.
  • “Services” refers to both the Website and Patient Portal collectively.
  • “Protected Health Information” or “PHI” has the meaning set forth in the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).
  • “Health Data Consent” refers to Our separate “Authorization for the Collection, Use, and Sharing of Health Information” document required for research matching.
  • “Informed Consent Form” refers to the study-specific consent document required for actual enrollment and participation in any individual research study.
  1. Access and Use

4.1  General Website Eligibility

You must be at least eighteen (18) years old to use the publicly accessible portions of Our Website.  By using the Website, You represent and warrant that You meet this eligibility requirement.

4.2  Patient Portal Eligibility and Account Registration

To access the Patient Portal, You must:

  • Be at least eighteen (18) years old, OR be an authorized representative or legal guardian of a patient;
  • Complete Our account registration process;
  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update Your account information to keep it accurate and complete; and
  • Specify Your preferred contact methods (email, phone, text message) during registration.

We will endeavor to use Your specified preferred contact methods when communicating with You about research opportunities, account matters, or other portal-related communications.

4.3  Research Participation Within the Patient Portal

The Patient Portal allows You to view research opportunities and participate at different levels:

Level 1 – Browse Research Opportunities:  View available research studies without sharing health data.

Level 2 – Research Matching:  Share Your health data to be matched with relevant studies and receive personalized study recommendations.  This requires:

  • Completing and signing Our separate “Authorization for the Collection, Use, and Sharing of Health Information” document (“Health Data Consent”);
  • Meeting eligibility requirements specified in the Health Data Consent; and
  • Compliance with both these Web Terms of Use and the Health Data Consent.

Level 3 – Study Enrollment:  Actually enroll and participate in specific research studies.  This requires:

  • Signing the Health Data Consent (required for research matching);
  • Signing a separate Informed Consent Form specific to each individual study; and
  • Meeting study-specific eligibility requirements.

IMPORTANT:  You may access the Patient Portal and browse research opportunities without any additional consent.  To receive personalized study matching, You must sign the Health Data Consent.  To actually enroll in any study, You must complete both the Health Data Consent and study-specific Informed Consent Form processes.

4.4  Account Security and Responsibilities

You are responsible for:

  • Maintaining the confidentiality of Your username and password;
  • All activities that occur under Your account;
  • Immediately notifying Us of any unauthorized use of Your account;
  • Using strong passwords and not sharing Your login credentials with others; and
  • Logging out of Your account when finished using the Patient Portal.

4.5  License to Use

We grant You a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes, subject to these Terms.

4.6  Prohibited Uses

You agree not to:

  • Use the Services in any way that violates applicable laws or regulations;
  • Use the Services to transmit malware, viruses, or harmful code;
  • Attempt to gain unauthorized access to any portion of the Services;
  • Use the Services to collect or harvest personal information of other users;
  • Engage in any activity that interferes with or disrupts the Services;
  • Use any robot, spider, or other automatic device to access the Services;
  • Copy, modify, create derivative works, reverse engineer, or decompile any portion of the Services;
  • Share Your Patient Portal login credentials with any other person;
  • Access another person’s Patient Portal account without authorization;
  • Use the Patient Portal for any purpose other than managing Your healthcare information, viewing research opportunities, and (if You have signed the appropriate consent documents) participating in research matching and authorized research studies;
  • Attempt to circumvent any security measures or access restrictions; or
  • Violate any terms set forth in the Health Data Consent (if applicable).
  1. General Privacy

Our collection and use of personal information is governed by Our Privacy Policy, which is incorporated by reference into these Terms.

  1. Patient Portal Privacy and Data Handling

6.1  Basic Portal Data

For basic Patient Portal access (account management, viewing research opportunities, and portal communications), We handle your information in accordance with Our Privacy Policy and applicable privacy laws.

6.2  Research Data

All matters related to health data collection, use, sharing, retention, and deletion for research purposes are governed by our separate “Authorization for the Collection, Use, and Sharing of Health Information” document (“Health Data Consent”).  The Health Data Consent takes precedence over these Web Terms of Use for all health-data matters.

6.3  Communication Preferences

By creating a Patient Portal account, You consent to receive communications from Us via Your specified preferred contact methods, which may include email, phone calls, text messages, or electronic communications through the Patient Portal.  You may update your communication preferences at any time through Your account settings.

  1. Intellectual Property Rights

7.1  Ownership

The Services and their original content, features, and functionality are owned by Joined Bio and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2  Trademarks

All trademarks, logos, and service marks displayed on the Services are either Our property or the property of third parties.  You may not use them without Our prior written permission or the permission of the third party that owns the marks.

7.3  User Content

You retain ownership of any content You submit through the Patient Portal.  By submitting content, You grant us a limited license to use, store, and display such content as necessary to provide the Services.

  1. Third-Party Links and Integrations

The Services may contain links to third-party websites or integrate with third-party services.  We are not responsible for the content, privacy practices, or terms of use of any linked sites or integrated services.  The inclusion of any link or integration does not imply Our endorsement.

 

  1. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.  WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

  1. Limitation of Liability

IN NO EVENT WILL JOINED BIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED One Hundred US Dollars ($100.00).

  1. Indemnification

You agree to indemnify and hold harmless Joined Bio, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any rights of another party; and
  • Any content You submit through the Services.
  1. Account Termination

12.1  Termination by You

You may terminate Your Patient Portal account at any time by logging into Your account and navigating to Your account settings or by contacting Us at privacy@joined.bio.  Personal and health data will be handled in accordance with Our Privacy Policy and, where applicable, the Health Data Consent document.

12.2  Termination by Us

We reserve the right to terminate or suspend Your access to the Services immediately, without prior notice, for any breach of these Terms or for any other reason in Our sole discretion.

12.3  Effect of Termination

Upon termination:

  • Your right to use the Services will immediately cease;
  • You will no longer be able to access Your Patient Portal account;
  • All provisions of these Terms which by their nature should survive termination will survive; and
  • We may retain certain information as required by law or for legitimate business purposes. 
  1. Governing Law and Dispute Resolution

13.1  Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law provisions.

13.2  Informal Resolution

Before filing a claim against Joined Bio for a dispute arising from these Terms, You agree to attempt to resolve the dispute informally by sending an email to Us at privacy@joined.bio.

13.3  Arbitration

You agree that any dispute arising from these Terms that cannot be resolved informally will be resolved through binding arbitration conducted in Massachusetts in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except for disputes related to intellectual property rights or injunctive relief, which may be brought in state or federal court.

  1. General Provisions

14.1  Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be eliminated, and the remaining provisions will remain in full force and effect.

14.2  Entire Agreement

These Terms, together with our Privacy Policy and (where applicable) the Health Data Consent document, constitute the entire agreement between You and Joined Bio regarding the use of the Services, and supersedes any prior agreements whether oral or written.

14.3  No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4  Assignment

You may not assign or transfer Your rights under these Terms without Our prior written consent.  We may assign our rights and obligations under these Terms without restriction.
